We have many years of experience in carrying out legal due diligence. During the legal due diligence process, we study the operation of the target of the due diligence from a legal point of view, identifying the legal risks associated with the envisaged legal transactions.
In line with the purpose of the due diligence and in consultation with our client, we request the documents and statements to be examined on the basis of our request list tailored to the target company/property. We will also consult any court or public records relating to the target company.
In the course of the legal due diligence, together with our colleagues who carry out the accounting and tax due diligence of the target company, we also interview the target company's senior management and/or senior employees to gain a better understanding of the target company's activities and to clarify any questions we may have when examining the documents.
We identify the risks that are material to our client and, depending on our client's choice, we prepare a shorter, more summarised ('red flag') or more detailed report/assessment of the documents identified and the risks identified, which we also align with our client.
If, as a result of the legal due diligence, our client decides to proceed with the proposed transaction, we will also assist in drafting and negotiating the necessary transaction agreements and related legal documentation, and in handling the closing and subsequent transfers to the public registers.
